By accessing or using soolisAI LLC's website, platform, or any of its AI-as-a-Service (AIaaS) offerings (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not use the Services.
2. Description of Services
soolisAI provides collaborative AI solutions, including privately trained, brand-aligned AI models, omnichannel engagement tools, insight dashboards, and related professional services. The specific scope, features, and deliverables of your engagement are described in the applicable order form, statement of work, or service agreement executed between you and soolisAI. These Terms govern your general use of the website and platform; any conflicting provision in a separately executed agreement will control with respect to that agreement.
3. Eligibility & Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when creating an account and to notify us promptly of any unauthorized use or security breach.
4. Acceptable Use
You agree not to misuse the Services or help anyone else do so. You may not: (a) reverse engineer, decompile, or attempt to extract the source code of the Services; (b) use the Services to transmit unlawful, infringing, defamatory, or malicious content; (c) attempt to gain unauthorized access to systems, data, or other users' accounts; (d) interfere with or disrupt the integrity or performance of the Services; or (e) use the Services in a manner that violates any applicable law or regulation.
5. Your Data & Intellectual Property
You retain all ownership rights in the data you provide to soolisAI ("Your Data"). You grant soolisAI a limited, non-exclusive license to use, process, and store Your Data solely as necessary to provide and improve the Services and as described in our Privacy Policy. All software, models, documentation, and technology underlying the Services remain the exclusive property of soolisAI and its licensors. Nothing in these Terms transfers any of our intellectual property to you except the limited right to use the Services as set forth herein.
6. Fees & Payment
Fees for the Services are set forth in the applicable order form or agreement. Unless otherwise stated, all fees are due as invoiced and are non-refundable except as expressly provided. If you fail to pay amounts when due, soolisAI may suspend or terminate access to the Services. You are responsible for any applicable taxes, duties, or governmental charges associated with your use of the Services.
7. Confidentiality
Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes non-public business, technical, and financial information disclosed in connection with the Services. Neither party will disclose the other's confidential information except to its employees, contractors, and advisors who need to know such information and who are bound by confidentiality obligations at least as protective as these Terms.
8. Warranties & Disclaimers
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, soolisAI disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of results. soolisAI does not warrant that the Services will be uninterrupted, error-free, or completely secure, or that AI-generated outputs will be accurate, complete, or free from errors.
9. Limitation of Liability
To the maximum extent permitted by law, in no event will soolisAI be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the use of the Services. In no event will soolisAI's total aggregate liability exceed the greater of one hundred dollars ($100) or the amounts actually paid by you to soolisAI for the Services in the twelve (12) months preceding the event giving rise to liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless soolisAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
11. Termination
You may stop using the Services at any time. soolisAI may suspend or terminate your access to the Services at any time for breach of these Terms, non-payment, or any conduct that we reasonably believe could harm soolisAI or others. Upon termination, your right to access the Services will immediately cease, and any provisions that by their nature should survive termination will continue in effect, including Sections 5, 7, 8, 9, 10, and 12.
12. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Greenville County, South Carolina. The parties will first attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.
13. Changes to These Terms
soolisAI may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.
